Terms of Service

Effective date: 10 September 2026

These Terms of Service (“Terms”) govern access to the MarkUp-N-Track web application at https://www.markupntrack.com (together, “MarkUp-N-Track,” “we,” “us”). By using the service you agree to these Terms.

1. The service

MarkUp-N-Track is a web application that opens PDF drawings from Microsoft SharePoint or OneDrive in the browser, records standard PDF annotations, and associates those annotations with Jira Cloud work items (Drawing Stories and Drawing Tasks). Jira remains the system of record for issue data. Microsoft 365 remains the system of record for the file.

2. Accounts and credentials

  • You must use your own Microsoft work or school account and your own Atlassian account.
  • v1 Jira access uses a personal Atlassian API token that you create and keep in your browser session.
  • You are responsible for protecting that token and for revoking it if you leave the organization or lose access to the browser session.
  • You must have a license and sufficient permissions in SharePoint and Jira for the files and projects you open.

3. Acceptable use

You may use MarkUp-N-Track only to review and mark up drawings you are authorized to access. You may not:

  • Circumvent access controls in Microsoft 365 or Jira;
  • Upload malware or attempt to disrupt the site or application;
  • Misrepresent the source of markups or issue transitions;
  • Use the product to process content you do not have rights to handle.

4. Customer content

Drawings, annotations, Jira fields, and SharePoint links are customer content. We do not claim ownership of your drawings or Jira issues. You grant MarkUp-N-Track only the limited rights needed to run the web application and operate the service for you.

5. Third-party services

The product depends on Microsoft 365 and Atlassian Jira Cloud. Their terms and availability apply. Outages or API changes at Microsoft or Atlassian may limit features. Data Center Jira is not supported in v1.

6. License

Subject to these Terms and a valid license (evaluation or paid), we grant you a non-exclusive, non-transferable right to use the web application for your organization’s internal drawing review. You may not reverse engineer the service except where the law forbids that restriction, or resell access as a standalone product.

7. Website content

Guides on this domain are provided to help you configure and use the product. They may lag the live build. In-app behavior controls implementation details if they differ from the website.

8. Disclaimer

The site and application are provided “as is.” To the maximum extent permitted by law we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that markups will be interpreted identically in every third-party PDF viewer, or that Jira searches will always resolve a unique Drawing Story from a filename.

9. Limitation of liability

To the maximum extent permitted by law, MarkUp-N-Track and its contributors are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of drawings, comments, or Jira data, even if advised of the possibility. Aggregate liability for claims arising from the product is limited to the fees you paid for the software in the twelve months before the claim, or one hundred U.S. dollars if you paid nothing.

10. Indemnity

You will defend and indemnify MarkUp-N-Track against claims arising from your content, your misuse of third-party APIs, or your violation of these Terms.

11. Changes and termination

We may update these Terms by posting a new version at /termsOfService. Continued use after the effective date constitutes acceptance. We may suspend access to the site or refuse license keys if you materially breach these Terms.

12. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules, unless a mandatory local law in your place of residence says otherwise. Courts located in Texas have exclusive jurisdiction, except that we may seek injunctive relief anywhere.
